Terms and Conditions

This Terms and Conditions agreement (“Agreement”) is a legally binding contract between you (“Customer”, “you”, “your”) and Grasshot Inc (“Grasshot”, “we”, “us”, or “our”), governing your use of the website (www.grasshot.com), mobile platforms, and any purchase of products or services made through our platforms.

By accessing or using our website, purchasing from us, or interacting with any Grasshot-related service, you agree to be legally bound by this Agreement. If you do not agree, do not use our services or website.

1. Scope of Services

Grasshot sells refurbished and pre-owned (Used) smartphones and related accessories to customers within the United States. All devices undergo a quality check process to ensure basic functionality. However, by purchasing, you agree and acknowledge the inherent risks and limitations associated with buying refurbished or pre-owned electronic devices.

2. Nature of Products (Refurbished and Pre-Owned Disclaimer)

You understand and expressly acknowledge that:

• Devices sold are not new. They are either refurbished, pre-owned, or returned units that may have been previously used by one or more users.
• These devices may show minor signs of cosmetic wear, including (but not limited to) small scratches, scuffs, or faded surfaces.
• Device performance, battery life, screen brightness, speaker quality, or camera function may not meet original manufacturer specifications.
• Devices may be repackaged in non-original packaging and may include aftermarket (non-OEM) accessories.
• Certain models may include components replaced using third-party parts.
• Operating systems may be updated or modified, and carrier compatibility should be verified by the customer prior to purchase.

Grasshot disclaims any and all liability for expectations of new-device performance or appearance.

3. Acceptance of Risk

By making a purchase from Grasshot, you assume all risks associated with purchasing and using a refurbished or pre-owned smartphone, including but not limited to:

• Variations in battery performance
• Degradation over time
• Device resale value
• Compatibility with third-party carriers or accessories

You acknowledge that you have read all product descriptions and agree that the device you are purchasing meets your intended requirements.

4. No Representations or Warranties Regarding Device Condition

Except as expressly stated in a written warranty document provided at the time of sale, Grasshot makes no guarantees, either express or implied, regarding:

• The cosmetic condition of the device
• The accuracy or completeness of the technical specifications
• The expected lifespan of any device component
• Performance under heavy usage or in extreme environments

You agree that Grasshot shall not be liable for any expectations not specifically stated in writing at the time of purchase.

5. Product Listings, Pricing, and Specifications

While we make every effort to ensure accuracy, you understand and agree that:

• Product listings may contain typographical errors, pricing inaccuracies, or omitted information.
• Grasshot reserves the right to cancel any order due to inaccuracies in product or pricing information, even after payment has been processed.
• Technical specifications and cosmetic condition gradings (e.g. “Excellent”, “Good”, “Fair”) are subjective and used as general guidelines only.

Grasshot is not responsible for buyer misinterpretation of these condition labels.

6. Payment and Fraud Prevention

• We accept major credit cards, Apple Pay and Google Pay
• Grasshot reserves the right to verify orders suspected of fraud or misuse.
• Orders may be delayed or canceled if payment cannot be verified.

7. Order Acceptance and Cancellation

We reserve the right to:

• Cancel or refuse any order at our sole discretion for any reason.
• Limit quantities purchased per household or per customer.
• Refuse service to customers who engage in fraudulent, abusive, or excessive return behavior.

Your order is only final upon receipt of a written Order Confirmation email.

8. Shipping and Delivery

• All orders ship via trackable and insured carriers. Estimated delivery dates are not guaranteed.
• Title and risk of loss pass to you upon delivery to the carrier.
• Grasshot is not liable for delays, losses, or theft occurring after shipment.
• In cases of lost shipments, a claim must be filed with the carrier before Grasshot will consider any replacement or refund.

9. Return Policy

Grasshot offers a 30-day return window, subject to strict conditions:

• Device must be returned in the same condition as received, with all accessories and original or equivalent protective packaging.
• Devices showing signs of user damage, alteration, water exposure, unauthorized repairs, or missing components may be denied or incur a restocking fee of up to 30%.
• We reserve the right to refuse returns that violate these conditions.
• Refunds may take 15–30 business days and will be issued via the original payment method, less any applicable fees.

Unauthorized returns or returns after 30 days will be rejected.

10. Limited Warranty

Grasshot provides a 12-month limited hardware warranty for devices that meet the following conditions:

• Malfunctions unrelated to misuse, drops, or unauthorized tampering.
• Non-cosmetic defects that materially affect device functionality.

Warranty does not cover:

• Accidental or water damage
• Screen cracks or battery degradation over time
• Software issues caused by third-party apps or viruses
• Theft, loss, or damage after receipt
• Use of non-OEM chargers or accessories

Grasshot, at its sole discretion, will repair, replace, or refund the device during the warranty period. Customer is responsible for return shipping in all warranty claims.

11. Chargebacks and Fraudulent Claims

You agree that you will not initiate a chargeback or dispute without contacting Grasshot first to resolve the issue in good faith.

In cases of chargeback abuse:

• We reserve the right to suspend or permanently ban your account.
• Your case may be forwarded to collections or pursued through legal action.
• You agree to reimburse us for any chargeback fees or losses incurred due to false or unsupported claims.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRASSHOT AND ITS AFFILIATES, EMPLOYEES, AGENTS, SUPPLIERS, AND DISTRIBUTORS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
• LOSS OF USE, DATA, PROFITS, OR REVENUE
• DAMAGES RESULTING FROM YOUR USE, MISUSE, OR INABILITY TO USE ANY DEVICE OR SERVICE

OUR LIABILITY TO YOU UNDER ANY CIRCUMSTANCE SHALL NOT EXCEED THE TOTAL AMOUNT PAID FOR THE DEVICE IN QUESTION.

13. Indemnification

You agree to fully indemnify and hold harmless Grasshot, its officers, directors, employees, and agents against any claim, liability, damage, loss, or expense (including reasonable attorney’s fees) arising out of:

• Your use or misuse of any product
• Your breach of this Agreement
• Your violation of any applicable laws or regulations

14. Intellectual Property

All content on the Grasshot website—including text, images, graphics, product listings, logos, videos, and software—is the sole property of Grasshot Inc and protected by U.S. and international intellectual property laws. Any reproduction, distribution, or unauthorized commercial use is strictly prohibited.

15. User-Generated Content

If you post reviews or feedback:

• You grant Grasshot a perpetual, royalty-free license to use, display, or share such content.
• You agree not to post false, misleading, or defamatory content.

16. Force Majeure

Grasshot shall not be liable for delays or failures caused by events beyond our control, including but not limited to:

• Natural disasters
• Strikes
• Wars or terrorism
• Internet or logistics disruptions
• Government restrictions

17. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Massachusetts, excluding conflict of law principles.

Binding Arbitration Agreement

All disputes, claims, or controversies arising from this Agreement or your use of our services shall be settled through binding individual arbitration administered by the American Arbitration Association (AAA), to take place in Massachusetts.

You waive your right to bring claims in court, participate in a class action, or seek a jury trial.

18. Severability

If any provision in this Agreement is found to be invalid or unenforceable, it shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

19. Entire Agreement

This document constitutes the entire agreement between you and Grasshot regarding your use of our website, purchases, and services, and supersedes all prior agreements and understandings.

20. Use of Third-Party Sellers & Fulfillment Partners

Grasshot reserves the right to use third-party sellers, warehouses, or logistics providers to process, package, or ship your order. This means your personal and shipping information, including (but not limited to) name, address, phone number, and email, may be shared with authorized third-party sellers or partners solely for the purpose of:

• Fulfilling your order
• Tracking shipment
• Processing returns or exchanges
• Handling customer service inquiries related to that order

By using our website and placing an order, you acknowledge and consent to this sharing of information.

Grasshot performs due diligence on all third-party fulfillment partners but is not liable for any delays, errors, damages, or losses caused by their actions, nor are we responsible for their independent data practices beyond what is contractually required for order fulfillment.

We do not authorize third-party sellers to market or contact you for any other reason unrelated to your order.

16. Changes to These Terms

Grasshot may modify these Terms at any time without prior notice. Updates will be posted on this page with a revised effective date.

Your continued use of our services constitutes acceptance of the revised Terms.
